Terms of Service

By accessing claudie.id or using any services provided by Claudie, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the service.

You represent and warrant that: (a) you are at least eighteen (18) years of age or have obtained parental or guardian consent if you are under 18; and (b) if you are accessing or using the service on behalf of an organization, entity, or company, you have the authority to bind such organization to these terms.

Claudie is an AI coding assistant and autonomous agent platform designed to assist developers with code generation, debugging, automation, and related software development tasks. The service is operated by SakuraCloudID Holdings, a company incorporated under the laws of Indonesia.

The services include, but are not limited to: AI-powered code generation and completion, AI agent pipelines for workflow automation, API access for enterprise integration, and related tools and features we may introduce from time to time.

Claudie is currently in pre-launch phase with a waitlist for early access. All features described are subject to change, and we make no guarantee that any specific feature will be available at launch. The strategic partnership with the Hong Kong Science and Technology Parks Corporation (HKSTP) is a business collaboration and does not create any liability for HKSTP regarding our services.

By signing up for the Claudie waitlist, you understand that doing so does not guarantee access to the service. We reserve the sole and absolute discretion to determine which waitlist applicants receive early access, the timing of such access, and the terms applicable to early access users.

Your waitlist registration is subject to our Privacy Policy. We collect and process your personal information solely for the purpose of managing the waitlist and communicating with you about our service.

You agree to use Claudie only for lawful purposes and in accordance with these terms. The following uses are permitted:

• Using the AI assistant for lawful coding assistance and software development;
• Automating permissible business workflows through AI agent pipelines;
• Integrating with our API for legitimate enterprise applications.

The following uses are strictly prohibited:

• Generating malware, viruses, or any code designed to destroy, interfere with, or surreptitiously intercept any system;
• Producing illegal content or content that violates applicable laws;
• Attempting to circumvent, bypass, or disable AI safety mechanisms;
• Reverse engineering, decompiling, or disassembling any part of the service;
• Scraping, crawling, or extracting data from the service beyond intended API usage;
• Using the service for military, weapons development, or other military applications;
• Violating third-party intellectual property rights;
• Creating deepfakes, synthetic media, or impersonation content without proper consent.

The Claudie platform, underlying AI models, algorithms, branding, logos, and all related intellectual property are and shall remain the exclusive property of SakuraCloudID Holdings. No portion of the service may be reproduced, distributed, or modified without our prior written consent.

You retain ownership of: (a) any input code, data, or materials you provide to Claudie; and (b) any output, generated code, or deliverables created by Claudie based on your inputs ("User Outputs"). You grant to Claudie a limited, non-exclusive, worldwide, royalty-free license to use your inputs solely for the purpose of providing the service to you.

Claudie may collect and use anonymized, aggregated usage data for the purpose of improving and training our AI models. Such data does not identify you personally and is treated as non-confidential.

HKSTP branding is used under license and may not be transferred, sublicensed, or used outside of authorized promotional materials.

All outputs generated by Claudie's AI are produced by automated systems and may contain errors, inaccuracies, bugs, security vulnerabilities, or outdated information. AI-generated content is not a substitute for professional advice.

Generated content may include suggestions that are similar to existing code in the public domain. You are responsible for ensuring that your use of any generated code does not infringe third-party intellectual property rights.

Your data is handled in accordance with our Privacy Policy, available at claudie.id/privacy. By using the service, you consent to the collection, use, and processing of your personal data as described therein.

We are committed to complying with Undang-Undang Perlindungan Data Pribadi No. 27 Tahun 2022 (Indonesian Personal Data Protection Law). Your personal data may be processed on servers located in Indonesia, Hong Kong, Singapore, and other jurisdictions as necessary for the provision of the service.

We do not sell, trade, or transfer your personal data to third parties for marketing purposes. Your data is shared only as necessary to provide the service, comply with legal obligations, or with your explicit consent.

During the waitlist and beta phases, access to Claudie is provided free of charge. We reserve the right to introduce paid plans at or after the official launch.

When paid plans are introduced: pricing will be published on our website; all prices are quoted in United States Dollars (USD) unless otherwise stated; local currency pricing may vary based on applicable exchange rates; and all applicable taxes, duties, and fees are the responsibility of the customer.

To the maximum extent permitted by applicable Indonesian law, SakuraCloudID Holdings, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or related to your use of the service.

Our total aggregate liability to you for any claims arising from or related to these terms or the service shall not exceed the amount paid by you (if any) in the twelve (12) months preceding the claim. For users who have not paid for the service (including waitlist and beta users), total liability shall not exceed IDR 100,000 (one hundred thousand Indonesian Rupiah) or the equivalent.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by local law.

You agree to indemnify, defend, and hold harmless SakuraCloudID Holdings, its directors, employees, officers, and agents, as well as HKSTP and its respective officers and employees, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your misuse of the service or any content generated thereby;
• Your violation of any third-party rights, including intellectual property rights;
• Any claim that your inputs or User Outputs infringe or misappropriate any third party's rights.

We reserve the right to suspend, restrict, or terminate your access to the service at any time, with or without notice, for any reason including but not limited to: violation of these Terms of Service, suspected illegal activity, or at our sole discretion.

You may discontinue use of the service at any time. Upon termination or discontinuation: your right to access the service ceases immediately; we will handle your data in accordance with our Privacy Policy's retention schedule; and any provisions that by their nature should survive termination shall survive.

We reserve the right to modify, update, or replace these Terms of Service at any time. Material changes will be communicated via email to the address you provided (if any) or through a prominent notice on the website.

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.

In the event of any dispute arising from or related to these terms, the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, the dispute shall be submitted to:

• Badan Arbitrase Nasional Indonesia (BNI), Jakarta, for arbitration under its rules; or
• The competent courts in Jakarta, Indonesia.

For users located in Hong Kong or other jurisdictions: nothing in these terms shall be interpreted as a waiver of any mandatory local consumer protection laws that cannot be contracted out of. Such laws shall apply to the fullest extent applicable.
